Terms of Service

Key things to understand before using RXBids

  • RXBids is a marketplace — not a pharmacy. We do not dispense, handle, or store prescriptions.
  • Your card is only charged when you accept a bid. You will see the exact amount before confirming.
  • You certify that any prescription you post is valid, legal, and issued to you by a licensed prescriber.
  • Posting a fraudulent prescription means no refund, permanent account ban, and a report to the DEA.
  • If a pharmacy cannot fill your order you receive a full refund automatically.
  • All pharmacies are licensed and verified — you are protected by their professional obligations.
  • No controlled substances are permitted under any circumstances.

1. Acceptance of terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and RXBids.com ("RXBids," "we," "us," or "our"). By creating an account, accessing, or using the RXBids platform, website, or mobile application (collectively the "Platform") you agree to be bound by these Terms. If you do not agree to these Terms you may not use the Platform.

We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the Platform at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.

2. What RXBids is — and is not

RXBids is a technology marketplace that facilitates price discovery between patients and licensed pharmacies for non-controlled prescription medications. RXBids is not a pharmacy, a pharmacy benefit manager (PBM), an insurance company, a medical provider, or a healthcare facility.

RXBids does not dispense, handle, store, transmit, or take custody of any prescription at any point. All dispensing is performed exclusively by licensed pharmacies through standard legal channels. RXBids has no role in any clinical decision. Your relationship with the dispensing pharmacy is separate from your relationship with RXBids.

The platform is a cash-pay service only. No insurance claims are processed. RXBids is not affiliated with any insurance provider, government healthcare program, or pharmacy benefit administrator.

3. Eligibility

To use RXBids you must:

  • Be at least 18 years of age
  • Be a resident of a US state where RXBids operates
  • Have a valid, legal prescription from a licensed prescriber for any medication you post (patients)
  • Hold an active, valid pharmacy license in the state where you intend to bid (pharmacies)
  • Provide accurate and truthful information during registration and use of the Platform
  • Not be prohibited from receiving our services under any applicable laws

4. Account registration

You must create an account to use the Platform. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.

You must notify us immediately at [email protected] if you suspect unauthorized access to your account. RXBids is not liable for any loss resulting from unauthorized use of your account where you failed to notify us promptly.

You may not create more than one account or create an account on behalf of another person without their explicit consent.

5. Patient terms

5.1 Posting an auction request

When you post a prescription auction request on RXBids you represent and warrant that:

  • The prescription you intend to fill is valid, current, and was lawfully issued to you by a licensed prescriber
  • The medication you are requesting is a non-controlled substance
  • All information you provide about the medication (name, strength, quantity, form) is accurate
  • You have not altered, forged, or fabricated any prescription information
  • You are posting for your own personal use and not for resale or distribution

5.2 Prescription fraud — zero tolerance

Submitting a fraudulent, altered, or fabricated prescription is a federal crime under 21 U.S.C. § 843 and applicable state laws. If RXBids determines or suspects that a prescription is fraudulent, altered, or obtained illegally: your account will be permanently banned with immediate effect, no refund will be issued under any circumstances, the case will be reported to the United States Drug Enforcement Administration (DEA) and the Arizona State Board of Pharmacy, and RXBids will cooperate fully with law enforcement investigations. By using the Platform you acknowledge and agree to these consequences.

5.3 Payment and billing

By adding a payment card during registration you authorize RXBids to charge your card when you accept a winning bid. The exact charge amount is displayed on a confirmation screen before any charge is made. Your authorization is required at the point of acceptance — your card is never charged without your explicit confirmation.

All payments are processed by Stripe, Inc. Your card details are stored securely by Stripe and are never accessible to RXBids. By using our payment services you also agree to Stripe's Terms of Service.

5.4 Prescription transfer obligation

After accepting a winning bid you have 48 hours to arrange for your prescriber to transmit your prescription directly to the winning pharmacy (by phone call-in, fax, or electronic prescribing). Failure to do so within 48 hours will result in forfeiture of your payment with no refund, as the pharmacy has committed their time and resources. You will receive automated reminders before this deadline.

6. Pharmacy partner terms

6.1 License requirements

By registering as a pharmacy partner you represent and warrant that your pharmacy holds a current, valid, and unrestricted license in every state where you intend to bid. You agree to notify RXBids immediately if your license status changes, is restricted, suspended, or revoked in any state. RXBids reserves the right to suspend your account immediately upon becoming aware of any license issue. Your license will be automatically re-verified monthly against the applicable state board of pharmacy database.

6.2 Bidding obligations

By placing a bid on an auction you represent that you are capable of filling the prescription as specified and shipping it to the patient's state. You agree to fulfill any auction you win in a timely and professional manner consistent with applicable pharmacy laws, regulations, and professional standards.

6.3 Unable to fill — reporting requirement

If you win an auction but are unable to fill the prescription for any reason you must notify RXBids within 24 hours of determining you cannot fill. Failure to notify within this window forfeits any good faith payment you may otherwise be entitled to. Upon timely notification the patient will receive a full refund and you will be responsible for the 10% platform fee as you committed to fulfilling the order when you bid.

6.4 Fraud detection and reporting

If you receive a prescription that you suspect is fraudulent, altered, or invalid you must report it to RXBids within 24 hours via your pharmacy portal, with supporting documentation (prescriber statement, notes, or evidence). Upon confirmed fraud determination by RXBids you will receive a 25% good faith payment of the winning bid amount in recognition of your time and verification work. Failure to report within 24 hours forfeits this payment. You agree to cooperate fully with any resulting investigation by RXBids or law enforcement.

6.5 Platform fee

RXBids charges a 10% platform facilitation fee on each fulfilled order. This fee is deducted automatically before your 90% payout is released. The platform fee is owed regardless of fill outcome in the event you won the auction and failed to notify RXBids within 24 hours that you could not fill. The platform fee is not owed if a patient is issued a full refund due to circumstances outside your control (such as a nationwide drug recall).

6.6 Clinical independence

RXBids does not direct, supervise, or interfere with your professional clinical judgment. You retain full clinical and professional responsibility for all dispensing decisions, drug interaction checks, prescription verification, and compliance with applicable state and federal pharmacy laws. RXBids is not a party to the dispensing process and bears no liability for clinical decisions made by pharmacy partners.

7. Refund and payout policy

The following table summarizes financial outcomes for all scenarios. These terms are agreed to by both patients and pharmacies at registration:

Refunds are processed automatically where applicable and returned to the original payment method within 5-10 business days depending on your card issuer.

8. Prohibited conduct

You agree not to use the Platform to:

  • Post, bid on, or facilitate any controlled substance transaction (Schedule I–V)
  • Submit fraudulent, altered, forged, or fabricated prescription information
  • Impersonate another person, pharmacy, or prescriber
  • Circumvent or attempt to circumvent the Platform's anonymity protections
  • Engage in any form of price fixing, collusion, or anti-competitive behavior with other pharmacies
  • Reverse engineer, scrape, or extract data from the Platform
  • Use the Platform for any unlawful purpose or in violation of any applicable federal, state, or local law
  • Harass, threaten, or harm any other user of the Platform
  • Post false or misleading information in any auction request or pharmacy profile
  • Attempt to contact patients or pharmacies outside the Platform before a bid is accepted

9. Anonymity and contact restrictions

Patient identity is protected throughout the auction process. Pharmacies may not attempt to identify, contact, or communicate with patients outside the Platform before a bid is accepted. Similarly patients may not attempt to contact or identify specific pharmacies before the auction closes. Any attempt to circumvent the Platform's anonymity protections is a material breach of these Terms and may result in immediate account termination.

After a bid is accepted and payment is confirmed, contact information is shared solely for the purpose of completing the prescription transfer and fulfillment. This information may not be used for any other purpose including marketing, solicitation, or future contact unrelated to the current order.

10. Intellectual property

All content on the Platform — including but not limited to text, graphics, logos, software, and design — is the property of RXBids.com or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Platform content without our express written permission.

By posting auction requests or other content on the Platform you grant RXBids a non-exclusive, royalty-free license to use, display, and process that content solely for the purpose of operating the Platform.

11. Disclaimer of warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RXBIDS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. RXBIDS MAKES NO WARRANTIES REGARDING THE QUALITY, ACCURACY, OR SUITABILITY OF ANY PHARMACY, MEDICATION, OR SERVICE FACILITATED THROUGH THE PLATFORM.

RXBids does not endorse any specific pharmacy, medication, or treatment. The marketplace facilitates connections between patients and licensed pharmacies — it does not constitute medical advice.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RXBIDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, MEDICATION ERRORS, OR PHARMACY DISPENSING DECISIONS.

RXBids's total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the total amount paid by you to RXBids in the 12 months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be limited by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless RXBids and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: your use of the Platform, your violation of these Terms, your submission of fraudulent prescription information, your violation of any applicable law or regulation, or your infringement of any third-party rights.

14. Termination

RXBids reserves the right to suspend or terminate your account at any time and for any reason, including but not limited to: violation of these Terms, submission of fraudulent information, license expiry or suspension (pharmacies), or any activity that puts other users or the Platform at risk. Upon termination you lose access to the Platform and any pending auction activity. Termination does not relieve you of financial obligations incurred prior to termination.

You may close your account at any time by contacting us at [email protected]. Account closure is subject to completion of any pending transactions.

15. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.

Before pursuing formal legal action you agree to contact us at [email protected] to attempt to resolve any dispute informally. We will make good-faith efforts to resolve disputes within 30 days.

16. Entire agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us (such as the Pharmacy Partner Agreement), constitute the entire agreement between you and RXBids regarding the Platform and supersede all prior agreements, representations, or understandings.
